Terms of Service

Please read these Terms of Service carefully before engaging Vayu Tech for any services. By proceeding with a project or signing a statement of work, you acknowledge that you have read, understood, and agreed to be bound by these terms.

1. Acceptance of Terms

By accessing our website or engaging Vayu Tech for services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Services

Vayu Tech provides website design and development, AI web integration, web portal development, and annual maintenance services for brands and businesses. The specific scope, deliverables, timeline, and pricing for each engagement are agreed upon in a separate project agreement or statement of work (SOW).

3. Client Responsibilities

Clients agree to: • Provide accurate, complete information required for project delivery • Supply necessary content (text, images, branding assets) within agreed timelines • Assign a point of contact with authority to make decisions • Provide timely feedback during review rounds as specified in the SOW • Settle invoices within the agreed payment schedule Delays caused by the client may result in revised timelines and additional charges.

4. Payment Terms

Payment terms are defined in each project agreement. Standard terms are: • 50% advance before work begins • Remaining 50% upon delivery, before handover of source files or deployment • Annual Maintenance Contracts (AMC) are billed annually in advance All prices are in INR (India) or USD (international) as agreed. Taxes (GST etc.) are applied where applicable.

5. Intellectual Property

Upon receipt of full payment: • All custom code, designs, and deliverables created for your project become your property • Vayu Tech retains the right to display the project in our portfolio unless a separate NDA is agreed • Third-party libraries, plugins, and tools remain under their respective open-source or commercial licences • We retain ownership of any internal tools or frameworks used in delivery that are not specific to your project

6. Revisions & Change Requests

Each project includes a defined number of revision rounds as stated in the SOW. Additional revision rounds or scope changes outside the agreed SOW will be billed at our hourly rate. All change requests must be submitted in writing.

7. Warranties & Disclaimers

We warrant that our work will be delivered with reasonable skill and care. However: • We do not guarantee specific business outcomes (traffic, conversions, revenue) from websites we build • Third-party services (hosting, APIs, plugins) are subject to their own availability and we are not liable for their downtime • Websites are tested on current major browsers; compatibility with outdated browsers is not guaranteed

8. Limitation of Liability

To the maximum extent permitted by law, Vayu Tech's total liability for any claim arising from our services is limited to the amount paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate a project with 14 days written notice. In the event of termination: • Client pays for all work completed up to the termination date • Vayu Tech delivers all completed work and assets to the client upon receipt of payment • The advance payment is non-refundable if work has already commenced

10. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Ahmedabad, Gujarat, India.

11. Changes to These Terms

We reserve the right to update these Terms of Service. Changes will be posted on this page. Continued use of our services constitutes acceptance of the revised terms.
